Terms of Service
The terms that govern your use of the Seatmap website and products.
This document is currently available in English only. The English version is the legally binding version.
Last updated: 21 September 2026
1. Introduction and acceptance
These Terms of Service (the “Terms”) form a legally binding agreement between you, or the company or other legal entity you represent (“you”, the “Customer”), and PIZEL PLAZA, LLC (“we”, “us”). They govern your access to and use of the seatmap.io website and any related sites we operate (the “Site”) and our products and services, including Seatmap Studio, Seatmap Canvas and the Seatmap Platform APIs (together, the “Service”).
By accessing the Site, creating an account, or using any part of the Service, you confirm that you have read and understood these Terms and agree to be bound by them. If you act on behalf of a legal entity, you represent and warrant that you are authorised to bind that entity, and references to “you” mean that entity. Any act or omission by a person using your account is treated as your act or omission.
The Service is provided for business use only. If you do not agree to these Terms, or may not lawfully enter into this agreement, do not use the Service.
If you have signed a separate written agreement or order form with us (an “Order Form”), that document prevails over these Terms to the extent of any conflict.
2. Changes to these Terms and to the Service
We develop and improve the Service continuously, and we may add, modify or remove features from time to time. We may also update these Terms to reflect changes in the Service, our business, or the law. The current version, with its effective date, is published on this page. For material changes we will provide reasonable advance notice, for example by email or an in-product message. Your continued use of the Service after a new version takes effect constitutes acceptance of it. If you do not agree with a change, stop using the Service and close your account; that is your sole remedy, and any such termination is at your sole cost and risk.
3. The Service
PIZEL PLAZA, LLC provides Seatmap, software tools to design, manage and render seat maps and venue layouts, and to manage event inventory, orders and access through APIs and embeddable components. The Service evolves frequently; we will endeavour not to make breaking changes to documented, public APIs without reasonable notice.
Certain components, for example the open-source Seatmap Canvas renderer, are made available under their own open-source licences. Your use of those components is governed by those licences, not by these Terms. Features identified as alpha, beta, preview or similar are provided as-is, may change or be withdrawn at any time, and may be less reliable than the rest of the Service.
The Service is a software tool. We are not the organiser, seller or reseller of any event or ticket, and we are not a party to any transaction between you and your customers. We do not set ticket prices, control event content, or handle admission decisions.
4. Accounts
When you create an account you must provide accurate information and keep it up to date. You are responsible for maintaining the confidentiality and security of your credentials, and for all activity carried out under your account. You must notify us immediately of any unauthorised use of your credentials or any other breach of security. We may verify that you are entitled to represent the legal entity you register for, and we may refuse or suspend registrations at our reasonable discretion.
5. Acceptable use
You agree that you will not:
- access or collect data from the Site or the Service by scraping, crawling, data-mining, model training or any other automated means, except through the documented APIs made available to you and within the scope of your plan;
- reverse engineer, decompile or attempt to derive the source code or underlying algorithms of any part of the Service, except to the extent this restriction is prohibited by applicable law;
- circumvent, interfere with or obscure any usage metering, security measure or access control;
- take any action that imposes, or may impose, an unreasonable or disproportionately large load on our infrastructure compared with normal use;
- introduce any virus, worm, Trojan horse or other destructive or harmful material;
- use the Service for any unlawful event or content, or in any way that infringes the intellectual property or other rights of any third party; or
- resell, sub-license or provide the Service to third parties other than as expressly permitted. Embedding the renderer in your own customer-facing purchase flows is, of course, permitted use.
We may investigate suspected breaches and suspend or restrict access where we reasonably consider that a breach has occurred, without prejudice to our other rights (including the right to claim damages).
6. Customer content and event data
“Customer Content” means the seat plans, venue layouts, event details, prices, availability and other data or material that you or your users submit to the Service. You retain all rights you hold in your Customer Content. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, process, transmit and display Customer Content solely as needed to provide, maintain and improve the Service.
You are solely responsible for the accuracy and legality of your Customer Content. In particular, you must ensure that event information, seat numbers, prices and availability displayed to your customers are accurate and not misleading, and that your sales comply with all applicable laws, including consumer protection and ticket-sale transparency rules. We do not monitor, verify or endorse Customer Content, and we accept no responsibility for it.
You warrant that you hold all rights, licences and consents needed for the Customer Content you submit. We may remove or disable access to any Customer Content that breaches these Terms or applicable law.
Unless you opt out by written notice to us, we may use your name and logo to identify you as a Seatmap customer on the Site and in our marketing materials.
7. Intellectual property
The Site and the Service, including all underlying software, data structures, documentation and look and feel, and all intellectual property rights in them, are owned by or licensed to PIZEL PLAZA, LLC. We grant you a limited, non-exclusive, non-transferable and revocable licence to access and use the Service during the term of your agreement with us, in accordance with these Terms.
Seat plans and venue layouts produced through the Service are technical, functional renderings. To the extent any intellectual property rights arise in the visual representation of a seat plan generated through the Service, you agree that such renderings are functional drawings and you waive any right to assert such rights against us or against our other customers using the Service. Your underlying venue and event data remains yours.
If you provide suggestions, ideas or feedback about the Service, we may use them freely, without any obligation or compensation to you.
8. Fees and payment
Fees are as set out in your Order Form or as otherwise agreed with you in writing. Unless stated otherwise, fees are exclusive of taxes (such as VAT), are payable in advance, and are non-refundable except as required by law or expressly agreed in writing.
Timely payment is of the essence. If properly invoiced fees remain unpaid after their due date, we may, without incurring any liability, suspend your access until full payment is received, and interest and recovery costs may accrue as permitted by Delaware law. We may change our prices with effect from a renewal period by giving you reasonable notice.
9. Data protection
Each party will comply with applicable United States data protection laws. For personal data relating to your account and your use of the Site, we act as the data controller. See our Privacy Policy.
For personal data of your end customers (for example ticket buyers) that is processed through the Service, you are the data controller and we act as a data processor on your documented instructions; our Data Processing Addendum, available on request, governs that processing. You warrant that you have a lawful basis for, and have given all notices and obtained all consents required for, the end-customer personal data you submit to the Service, and you are responsible for responding to data subject requests relating to it.
10. Third-party services
The Service may interoperate with, or contain links to, third-party websites, scripts and services, for example payment providers, hosting or analytics. We do not control and are not responsible for any third-party service, its content, or its acts or omissions. Your use of any third-party service is at your own risk and subject to that third party's own terms.
11. Disclaimers
The Service is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, conditions and representations, whether express or implied, including any implied terms of satisfactory quality, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, timely, secure or error-free, that defects will be corrected, or that any data or content will be accurate, complete or current.
You are responsible for your own integration, configuration and content choices, and for testing the Service in your own environment before relying on it in production.
12. Limitation of liability
12.1Nothing in these Terms excludes or limits either party's liability for: death or personal injury caused by its negligence; fraud or fraudulent misrepresentation; or any other liability that cannot be excluded or limited by law.
12.2 Subject to clause 12.1, we will not be liable to you, whether in contract, tort (including negligence), breach of statutory duty, misrepresentation, restitution or otherwise, for any: loss of profits; loss of revenue; loss of business or contracts; loss of anticipated savings; loss of goodwill; loss, corruption or unavailability of data; or any indirect or consequential loss, in each case howsoever arising out of or in connection with the Service or these Terms, even if advised of the possibility of such loss.
12.3 Subject to clauses 12.1 and 12.2, our total aggregate liability arising out of or in connection with the Service or these Terms, in any 12-month period and howsoever arising, is limited to the total fees paid or payable by you to us in the 12 months preceding the event giving rise to the claim or, if you have not paid us any fees, to £100.
12.4 We are not liable for any loss arising from events, content or transactions between you and your customers or other third parties, including event cancellations, refunds, chargebacks or admission decisions.
12.5 The allocations of risk in this clause 12 are reflected in our pricing and are a fundamental basis of the bargain between the parties. Each limb of this clause is a separate and severable provision; if any limb is held unenforceable, the others continue to apply.
13. Indemnity
You will indemnify, defend and hold harmless PIZEL PLAZA, LLC and its officers, directors and employees from and against all claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of or in connection with: (a) your Customer Content and your events; (b) your breach of these Terms or of applicable law; (c) your actual or alleged infringement of any third-party right; and (d) any claim by your customers or other third parties relating to your events, tickets or use of the Service.
14. Suspension and termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access, in whole or in part, if: you breach these Terms and fail to remedy the breach within 14 days of notice (or the breach is incapable of remedy); you fail to pay fees when due; you become insolvent, enter administration or liquidation, or are subject to any analogous event in any jurisdiction; or we reasonably consider that continuing to provide the Service to you would create a legal, security or reputational risk, in which case we may act without prior notice to the extent necessary.
On termination, your right to use the Service ends. For 30 days following termination you may request an export of your Customer Content, which we may provide at a reasonable cost; after that period we may delete it, except where retention is required by law. Accrued rights, and clauses that by their nature are intended to survive (including clauses 7, 9, 12, 13 and 16), survive termination.
15. General
These Terms, together with any Order Form and the documents they refer to, constitute the entire agreement between the parties and supersede all prior discussions and arrangements. Each party acknowledges that it has not relied on any statement not set out in them; nothing in this clause limits liability for fraudulent misrepresentation.
We may assign or subcontract our rights and obligations, including to an affiliate or in connection with a merger, reorganisation or sale of assets. You may not assign your rights or obligations without our prior written consent, which will not be unreasonably withheld.
If any provision of these Terms is held to be invalid or unenforceable, it will be deemed modified to the minimum extent necessary to reflect the original intent, and the remaining provisions will continue in full force. A failure or delay to exercise a right is not a waiver of it. Nothing in these Terms creates a partnership, agency or employment relationship. We are not liable for any delay or failure caused by events beyond our reasonable control. Except as expressly stated in these Terms, they create no rights for any third-party beneficiary.
16. Governing law and jurisdiction
These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter, are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws rules. The state and federal courts located in Delaware have exclusive jurisdiction to settle any such dispute or claim.
